1. ABOUT OUR PRIVACY POLICY 

1.1 This Privacy Policy governs Personal Information processing by CATALYSTA, derived from your access and use, as a natural person ("You" and/or the "Artist(s)" and/or the "User(s)") or as a legal entity (“You” and/or the “Art Gallery”) of the virtual platform owned by CATALYSTA LLC (“CATALYSTA”), consisting in a website: www.catalysta.la (hereinafter the "Website", the "Catalysta Website”).  

1.2. We process personal information to carry out our operations and provide our services to our Users. By agreeing to our Terms of Use (and, in some jurisdictions, by agreeing to this Policy), you confirm that you have read and understood this Privacy Policy, including how and why we use your Information. If you do not want us to collect or process your Personal Information in the ways we describe in this Policy, you should not use the services. 

1.3. The conditions of use of the Catalysta Website require that all account owners have full legal capacity. The Website may not be used or accessed by persons who do not have such capacity, minors without the authorization of their parent or guardian, or Users of the Website who have been temporarily suspended or permanently disabled.

1.4. By using the Website, You authorize CATALYSTA to use your Information in the United States of America, Mexico, and in any other country in which CATALYSTA operates. Please note that the privacy laws and standards of certain countries, including the authorities’ powers to access your Personal Information, may differ from those that apply in your country of residence. We will transfer Personal Information only to those countries where such transfer is permitted by law, as further described in more detail in the "Communication of Personal Information" section of this Policy.

2. IDENTIFICATION AND CONTACT DETAILS OF THE DATA CONTROLLER

2.1. CATALYSTA LLC, with address at 3400 SW 27 AVE APT 303 (hereinafter, "CATALYSTA") is responsible for the processing of your Personal Information. This Privacy Policy provides information on how CATALYSTA will use your Personal Information as a User of the Website.

2.2. The purpose of this Privacy Policy is to provide information on your rights under the California Consumer’s Privacy Act, the Federal Law on Protection of Personal Information Held by Private Parties, and its Regulations in Mexico, as well as any other applicable regulations in force (collectively referred to as the “Personal Information Legislation”). 3. NECESSARY AND UPDATED INFORMATION

3.1. All the fields marked with a star (*) in the forms on the Website will be mandatory, therefore, any lack or omission thereof may amount to the impossibility of being provided the requested services or information.

3.2. You must provide truthful Information, ensure that it is always updated and that it does not contain any errors. You must give prompt notice to CATALYSTA, as soon as possible, regarding any modifications and amendments to your Personal Information, as applicable, by sending an e-mail to the address: privacy@catalysta.la

3.3. Likewise, by clicking on the “I Accept” button (or its equivalent) incorporated in the aforementioned forms, You declare that the Information and data You have provided are accurate and truthful, and that You accept the processing of your Personal Information in accordance with this Privacy Policy.

3.4. If You are an Art Gallery, You accept that you have obtained the consent of third parties, whose Personal Information is shared in the aforementioned forms, to share their Personal Information with  CATALYSTA. In addition, You accept that You will treat their Personal Information in accordance with this Privacy Policy.

4. PERSONAL DATA PROCESSED BY CATALYSTA

4.1. To comply with the purposes described in the Terms and Conditions of the Catalysta Website, as well as in this Privacy Policy, the following “(Personal) Information” will be processed:

4.1.1. Identification Information. Full name, birthdate, nationality, e-mail, full address, phone number, user profile and photograph. 

4.1.2. Financial Information. Payment information, bank account number, "routing" number, and credit and debit card numbers associated with the CATALYSTA account of the owner.

4.1.3. Automatic Information.CATALYSTA may also obtain your Information through your mobile device, computer, or mobile device identification number, including geolocation, time zone, language preference, login, e-mail address, password, and advertising identifiers. Likewise, CATALYSTA will be able to obtain Information on interactions with users within the CATALYSTA Website, history of purchase and use of content, and telephone numbers used to call our customer service number. We may also use device identifiers, cookies, and other technologies on devices, applications, and our websites to collect browsing, usage, or other technical information.

4.1.4. Information from Other Sources. Examples of Information we receive from other sources include updated information and delivery address of carriers or other third parties used to deliver your purchase, information on the credit history from credit agencies, which we use to help prevent and detect fraud and to offer certain credit or financial services to some customers.

4.2. CATALYSTA may require that You provide additional Personal Information, or may obtain the Information indirectly through public-access sources or other sources available, to verify your identity, residence, or any other of Your identification Information, in compliance with the applicable legal provisions. 

5. PURPOSES OF THE PROCESSING

5.1. What are the purposes that CATALYSTA uses your Personal Information for?

5.2. We use your Personal Information to operate, as well as to provide, develop and improve the products and services we offer to our Users. These purposes include:

5.2.1. Purchase and delivery of products. We use your Personal Information for the fulfillment of the contractual relationship between You and CATALYSTA, for the creation and management of the Users’ account on CATALYSTA, and to verify, validate and confirm their identity, as well as the Information that You provide.  We also use your Information to take and handle orders, deliver products, process payments, and communicate with You about orders, products, and promotional offers.

5.2.2. Provide and improve CATALYSTA services. We use your Personal Information to provide functionality, analyze our performance, correct errors, and improve the usability and effectiveness of the CATALYSTA services.

5.2.3. Recommendations and personalization. We use your Personal Information to recommend features, products and services that may be of your interest, identify your preferences and personalize your experience with CATALYSTA.

5.2.4. Comply with legal obligations and troubleshoot issues. In some cases, we collect and use your Personal Information to comply with national or international laws, as well as to handle any judicial process, or to process and respond to any requests, including requests from authorities, to settle disputes and troubleshoot issues.

5.2.5. Communication with You. We use your Personal Information to communicate with You through different channels (for example, by phone, e-mail, chat), to provide you advice, clarifications, attention to complaints, customer service and after-sales service, as well as to monitor the quality of the calls by recording them and storing the corresponding conversations. We may also conduct satisfaction surveys for products and/or services. 

5.2.6. Advertising. We use your Personal Information to display interest-based advertisements, considering features, products and services that may be of your interest. We may also use your Information to perform market strategies and elaborate market segmentation. 

5.2.7. Fraud and Credit Risk Prevention. We use Personal Information to prevent and detect fraud and abuse to protect the safety of our Users. We may also use scoring methods to assess and manage credit risks. 

5.2.8. All those complementary activities necessary to carry out the aforementioned purposes.

5.3. Secondary Purposes. We will also process Personal Information for the following secondary or ancillary purposes: (a) marketing, advertising, promotion, commercial prospecting, referral processes, the preparation, evaluation and analysis of User profiles for the development and offering of new products, conducting surveys with analytical and statistical purposes, all of them related to the products and services of CATALYSTA, its subsidiaries, allies and other third parties; and (b) to contact You or send You information about news, offers from CATALYSTA or third parties, newsletters, advertising or marketing, and remote sales, using means such as email, PUSH notifications, text messages (SMS) and pop-up boxes.

5.3.1. If You oppose the processing of your Personal Information for secondary purposes to the legal relationship that gave rise to the product that You have contracted or requested, You can file for the opposition procedure for secondary purposes, by exercising your Rights described below.

6. COMMUNICATION OF PERSONAL INFORMATION

6.1. We share Users’ Information only as described below, and with those third parties subjected to this Privacy Policy, or that observe protective practices equal to the ones described in this Privacy Policy.

6.1.1.Operations with third parties. We offer You products and artworks created by third parties, to be purchased. For example, you can order a work of art from third parties through CATALYSTA; we share User’s Information related to such transactions with those third parties.

6.1.2. Third-party service providers. We use, for example, other companies and individuals to perform some acts on our behalf, such as filing product orders, deliver packages, send mails and e-mails, analyze data, provide marketing assistance and analytical and statistical purposes, make a historical registration of users and surveys, provide search and link results, process payments, transfer content, safeguard information centrally, give a score to credit risks and provide customer services. These third-party service providers have access to certain Personal Information, only to the necessary extent to carry out their functions but may not use it for any other purposes.

6.1.3. Business transfers. As we continue to develop our business, we may sell or buy other commercial entities or services. Users’ Information is usually one of the assets transferred in such transactions. However, in any case, such Information will be subjected to the commitments set forth in the pre-existing Privacy Policy. In case that CATALYSTA, or the majority of its assets, are acquired by a third party, the customers’ and Users’ Information will be one of the assets transferred as well.

6.1.4. Disclosure to Authorities. We may disclose the User’s Website account information and other Personal Information to comply with the applicable laws, or any requirement from governmental agencies or entities, related to the obligations set forth in the legislation that applies to CATALYSTA, its subsidiaries and/or affiliates, including information that is necessary for the recognition, enforcement, or defense of a right of CATALYSTA, its subsidiaries and/or affiliates in a judicial process. Information may also be disclosed to comply with any requirement that they are addressed. This includes the exchange of Information with other companies and organizations for fraud protection and credit risk reduction.

6.2. Any case of transfer of Personal Information excluded from the list above, which implies to communicate the Information to a person different from its owner, will require your express consent.

6.3. In any type of transfer, CATALYSTA will communicate this Privacy Policy to those who receive your Personal Information, for them to always comply with the Privacy Policy while processing the Information. 

7. ENFORCEMENT OF YOUR RIGHTS 

7.1. We hereby inform you that you can enforce the following Rights:

7.1.1. Right to access to your Personal Information to know what data are being processed, both specifically and by category, as well as the processing operations carried out with them;

7.1.2. Right to amend any inaccurate Personal Information;

7.1.3. Right to delete your Personal Information, when this is possible;

7.1.4. Right to oppose the processing of your Personal Information. In this case, we will stop processing your Information unless we have a legitimate interest in that, or in filing, submitting, or defending claims; and

7.1.5. Right to revoke your consent at any time.

7.2. You can, at any time, and free of charge, enforce your Rights by sending an email to the Department of Personal Information privacy@catalysta.la , indicating the Right you wish to exercise and your identification information.

8.CALIFORNIA CONSUMER’S PRIVACY ACT

8.1. CATALYSTA’s Privacy Policy describes the Personal Information we collect, the sources we collect it from, the purposes we use it for, the limited circumstances under which we share Personal Information and whom we share it to. These provisions comply with the obligations set forth by the California Consumer’s Privacy Act. CATALYSTA will not discriminate against any consumer for exercising their rights under the California Consumer’s Privacy Act.

9. COOKIES

9.1. CATALYSTA will only use data storage and recovery devices (“Cookies”) when the Users have previously consented to that, in accordance with the indication of the pop-up window of the Users’ browser when they first access the CATALYSTA Website. 

10. SECURITY MEASURES

10.1. CATALYSTA adopts, at all times, the security appropriate standards according to the nature of the data that is being processed, as required by the Personal Information Legislation. 

11. MINORS

11.1. Minors may not use the services available through the Website without their parents’, guardians’, or legal representatives’ prior authorization, who will be solely liable for all acts performed through the Website by minors under their responsibility.

12. STORAGE OF PERSONAL INFORMATION

12.1. The owner's Personal Information is stored in Amazon servers, located in safe and secure data centers. This Information is protected by physical, electronic, and procedural safeguards that comply with the applicable federal and state regulations.

13.PROCEDURE AND MEANS TO COMMUNICATE CHANGES IN THE PRIVACY POLICY

This Privacy Policy may undergo modifications, changes or updates derived from new legal requirements, changes in the offer of products or services, changes in the privacy practices or in the business model, among others.

We hereby commit to keep you informed about changes that this Privacy Policy may undergo, by means of written notices to your email or through the Catalysta Website. 

The notice of changes, modifications or updates will be considered as effectively made when the modified Privacy Policy is published in the aforementioned means, indicating the date of its last update for better reference. It is the User's responsibility to periodically review the Privacy Policy, and Users must abide by the most recent one when using the CATALYSTA Website.
